These Terms of Service ("Terms") govern your access to and use of the platform, website, and services provided by Skillyo Inc. ("Skillyo," "we," "our," or "us"), a Delaware corporation, at skillyo.ai (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include that organization.
To access certain features you may be required to create an account. You agree to provide accurate and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@skillyo.ai if you suspect any unauthorized access.
You may not share your account with others or permit unauthorized access. We reserve the right to suspend or terminate accounts that we reasonably believe are being misused.
Skillyo provides a platform that enables knowledge workers to encode expert methodologies into structured, runnable, and shareable workflows ("Skills"). The Service is provided during an early access period and features, availability, and pricing are subject to change. We will endeavor to give reasonable notice of material changes.
We reserve the right at any time to modify, suspend, or discontinue the Service or any part of it, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to investigate suspected violations and to suspend or terminate your access if we determine, in our sole discretion, that you have violated these Terms.
You retain ownership of any Skills, workflows, content, and data that you create or upload to the Service ("Your Content"). By using the Service, you grant Skillyo a limited, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, transmit, and process Your Content as necessary to provide, maintain, and improve the Service.
Private by default. Your Content is private to your account unless you choose to share or publish it. The license above is limited to operating the Service for you until you take an action that makes Your Content available to others (see Section 5A, Gallery and Published Content).
You represent and warrant that you have all rights necessary to grant this license and that Your Content does not violate any third-party rights or applicable law.
We do not claim ownership of Your Content. To run Skills, we send relevant inputs and content to third-party AI model providers (such as Anthropic and Google), whose handling of that data is described in our Privacy Policy. We do not use Your Content to train our own or third parties' AI models. We may use aggregated or de-identified data, and Your Content as needed to operate, secure, and improve the Service, as described in our Privacy Policy.
Results. Skills generate outputs ("Results"). As between you and Skillyo, you own the Results you generate, subject to the terms of the underlying AI model providers. Results are generated by AI, are provided "as is," and may be inaccurate or incomplete; you are responsible for reviewing them before relying on or sharing them. If you share a Result via a public or shared link, you grant Skillyo the license in Section 5A(a) to host and display it.
The Service lets you publish Skills to a public gallery and otherwise share Your Content (including shared results and public profile pages) with other users or the public ("Published Content").
(a) License for publishing. When you publish or share Your Content, you grant Skillyo a worldwide, non-exclusive, royalty-free, sublicensable license to reproduce, publicly display, distribute, and make Your Content available to other users and, where you choose, the public, in order to operate the gallery and sharing features. You also grant each user who adds your Published Content to their library a non-exclusive license to access, run, and use it within the Service, subject to these Terms and any additional terms you set.
(b) Your representations. You represent and warrant that you have all rights necessary to publish and distribute Your Content, that it does not infringe or violate any third-party rights or applicable law, and that it does not contain confidential information you are not permitted to share.
(c) Skills are provided by their authors. Skills and other content in the gallery are created by their authors, not by Skillyo. Skillyo does not endorse, verify, or warrant any gallery content, and is not responsible for it. You use gallery content at your own risk.
(d) Removal. You may unpublish Your Content at any time. Removing Published Content stops further distribution, but does not require other users who have already added it to their library to delete their copies; the license in Section 5A(a) survives for copies already distributed.
(a) Standards. Published Content must not be unlawful, infringing, deceptive, harmful, or in violation of these Terms. We may set additional gallery content guidelines and update them from time to time.
(b) Our rights. We may review, refuse to publish, remove, or restrict any content at our discretion, with or without notice, and without liability to you. We are not obligated to monitor content.
(c) Reporting. You can report content you believe violates these Terms at hello@skillyo.ai.
(d) Copyright (DMCA). We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. To submit a notice, contact our designated DMCA agent at hello@skillyo.ai. We will remove infringing content upon receipt of a valid notice and may terminate the accounts of repeat infringers.
The Service, including its software, design, text, graphics, logos, and other content (excluding Your Content), is owned by Skillyo or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written permission.
Nothing in these Terms transfers any ownership of intellectual property to you.
If you submit ideas, suggestions, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit that Feedback in any way without restriction or compensation to you.
The Service may integrate with or link to third-party tools, APIs, or services. Your use of those third-party services is governed by their own terms and privacy policies. Skillyo is not responsible for the availability, accuracy, or practices of any third-party service.
During the early access period, the Service may be made available free of charge or at promotional rates. We will provide reasonable advance notice before introducing or changing fees. If paid plans become available, payment terms, refund policies, and other details will be posted on the Service at the time of introduction.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SKILLYO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. SKILLYO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKILLYO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF SKILLYO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SKILLYO'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SKILLYO IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Skillyo and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights or applicable law.
You may stop using the Service and delete your account at any time by contacting us at hello@skillyo.ai.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. Upon termination, your right to use the Service will cease. Sections that by their nature should survive termination (including ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution) will survive.
In addition, the licenses you granted for Published Content (Section 5A) survive termination to the extent necessary for copies already distributed to other users before termination, and the provisions of Sections 5A(c), 10, 11, 12, and 14 survive.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Skillyo.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those changes.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Skillyo with respect to the Service and supersede all prior agreements. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
